MACBA Bylaws

The following bylaws have been adopted by the MACBA.

I. NAME AND PURPOSE

The name of this association shall be the Mississippi Association of County Board Attorneys (hereafter called "Association") which shall have the following purposes:

  • To provide for an exchange of information, knowledge, and practices among the attorneys for the boards of supervisors within Mississippi;

  • To encourage greater understanding of the legal issues and problems facing county government in general, and boards of supervisors in particular;

  • To propose, from time to time, as appropriate, suggestions and ideas on ways and means to approach legal problems affecting county government;

  • To serve as a forum in which practitioners and others may present educational and other programs of benefit to members;

  • To perform all things necessary and appropriate to promote greater understanding of county problems, and to improve the capabilities of county board attorneys to perform their respective duties; and

  • To make available, as appropriate, from time to time, information to boards of supervisors, county and state officials, the public and other interested persons on said legal issues.

II. MEMBERSHIP

There shall be two classes of membership. Full members shall be those board attorneys holding current appointments from their respective boards of supervisors, and from whom all dues, if any, have been paid. The association may provide through its bylaws for associate members, but only active members may vote on association business.

III. ANNUAL BUSINESS MEETING

The Association shall annually hold its regular business meeting, at which it may conduct any and all business appropriate to the association, provided that written notice of the time, date, and place shall have been given at least three weeks in advance thereof. A quorum consisting of ten members shall be necessary for transaction of business. At the annual business meeting, officers shall be elected.

IV. OFFICERS

A. OFFICES, DUTIES AND TERMS

The officers of the association shall be the president, first vice president, second vice president and secretary-treasurer, who shall hold term of one year.

The president shall preside at the meetings of the association and provide overall leadership of the association, serving as its principal liaison to the Mississippi Association of Supervisors, the Legislature, and other organizations and groups.

The first vice president shall act as president if, for any reason other than mentioned hereinbelow, the president is unable to do so. He shall assist the president and committees as appropriate. The first vice president shall be called and shall serve as president-elect.

The second vice president shall assist the secretary-treasurer in the performance of his duties and such other duties as may be required of him.

The secretary-treasurer shall certify the official actions of the association, maintain such records and accounts as appropriate, and annually give a financial report to the association.

B. ELECTION DISTRICTS

The president shall be elected from one of the Mississippi Supreme Court Districts, with the president for the term 1992-93 to be elected from the Central Supreme Court District. The following year the president shall be elected from the Southern Supreme Court District and the following year from the Northern Supreme Court District and following this rotation thereafter.

The first vice president shall be elected from one of the Mississippi Supreme Court Districts, with the first vice president for the term 1992-93 to be elected from the Southern Supreme Court District. The following year the first vice president shall be elected from the Northern Supreme Court District and the following year from the Central Supreme Court District and following this rotation thereafter.

The second vice president shall be elected from one of the Mississippi Supreme Court Districts, with the second vice president for the term 1992-93 to be elected from the Central Supreme Court District. The following year the second vice president shall be elected from the Southern Supreme Court District and the following year from the Northern Supreme Court District and following this rotation thereafter.

The secretary-treasurer shall be elected from one of the Mississippi Supreme Court Districts, with the secretary-treasurer for the term 1992-93 to be elected from the Northern Supreme Court District. The following year the secretary-treasurer shall be elected from the Central Supreme Court District and the following year from the Southern Supreme Court District and following this rotation thereafter.

C. VACANCIES IN OFFICE

In the event the president ceases to be classified as a full member as defined herein or for any reason resigns, during his term of office, the second vice president shall assume the duties of president until the next annual business meeting.

In the event the first vice president ceases to be classified as a full member as defined herein or for any reason resigns, during his term of office, the office shall remain vacant until the next annual business meeting.

In the event the second vice president ceases to be classified as a full member as defined herein or for any reason resigns, during his term of office, the office shall remain vacant until the next annual business meeting.

In the event the secretary-treasurer ceases to be classified as a full member as defined herein or for any reason resigns, during his term of office, the second vice president shall assume the duties of secretary-treasurer until the next annual business meeting.

V. EXECUTIVE

A board of trustees is hereby created with all powers to act on behalf of the association as a board of directors would function, except to amend the charter or bylaws, provided a quorum, consisting of at least five members of the board is present. The members of the board shall be full members and shall consist of the officers and the past presidents of the association. Meetings may be called by the president or a majority of the board.

VI. AMENDMENTS

This charter may be amended by a two-thirds vote of members present at the annual business meeting, or by a two-thirds vote of persons voting by mail ballot. Bylaws may be adopted by a majority of those present and voting at duly constituted meetings or by the same majority of persons voting by mail ballot. The president, board of directors, or association my direct that a mail ballot be conducted.

SPECIAL RULES OF PROCEDURE

1.0 FINANCE AND RECORDS

1.1 There shall be assessed as dues the amount of $25.00 per county. Dues shall be payable for a fiscal year which shall begin on October 1 and end on September 30.

1.2 A banking account shall be maintained in the name of the association and all dues shall be deposited therein. Disbursements shall be made only on approval of the President, the board of directors, or the association. Such funds shall be used for various association expenses, including, but not limited to, stationery, postage, annual luncheon, break and food expenses incurred for an association meeting, and related association expenses.

1.3 To assure continuity of records and accounts, the President may designate a records and fiscal agent to assist him and the Secretary-Treasurer by maintaining records and accounts of the association under their overall direction. Such agent shall make quarterly reports, and special reports when requested, to the officers, and shall serve without remuneration.

2.0 COMMITTEES

2.1 There shall be three standing committees (viz., Legislative, Education, and Nominating) the members and chairmen of which shall be appointed by the President who shall serve, along with the Vice President, as an ex-officio member of each.

2.2 The nominating committee shall recommend and nominate at least one person for each office named in article IV of the Charter. However, nominations shall still be allowed from the floor for any such office.

2.3 The education committee shall recommend topics of interest to be covered in educational programs.

2.4 The legislative committee shall assist the president in legislative liaison duties.
